1 Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the AI RAG Assistant Pro WordPress plugin, the EsolverAI website at esolverai.online, and all related services (collectively, the "Services") provided by EsolverAI ("we," "us," "our").

By:

• Downloading the free version of the plugin
• Purchasing a license key
• Installing or activating the plugin
• Using any part of our Services

...you ("User," "Customer," "you") agree to be bound by these Terms. If you do not agree, you must not use our Services.

If you are using the plugin on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

2 Definitions

3 License Grant

Subject to these Terms and payment of applicable fees, EsolverAI grants you a limited, non-exclusive, non-transferable, non-sublicensable license to:

• Install and use the plugin on the number of WordPress sites permitted by your license tier
• Use all features included in your license tier
• Receive updates and bug fixes during your license period

This is a license to use the software, not a transfer of ownership. EsolverAI retains all intellectual property rights in the plugin.

License Scope by Tier

Each license is valid for the license period (typically 1 year from purchase) during which you may receive updates. After the license period expires, the plugin continues to function but you will no longer receive updates or support until renewed.

4 License Tiers & Features

The plugin is available in four tiers. Features are enforced server-side via license validation.

Feature availability may change between plugin versions. We will not remove features from a tier without offering equivalent functionality or compensation.

5 Restrictions

You may not:

• Redistribute or resell the plugin or license keys to third parties (except as explicitly permitted under the Agency/White Label license for deploying on client sites you manage)
• Reverse engineer, deobfuscate, or decompile any compiled or obfuscated portions of the plugin
• Remove copyright notices or attribution from the plugin files (unless permitted by a White Label license)
• Share your license key publicly or with third parties not covered by your license tier
• Use the plugin on more sites than permitted by your license tier
• Claim ownership or authorship of the plugin or its underlying technology
• Use the plugin to facilitate illegal activities, including privacy violations, spam, fraud, or unauthorized data collection
• Use the plugin's AI capabilities to generate harmful, abusive, discriminatory, or illegal content
• Circumvent the license validation or message-rate-limiting mechanisms
• Use the plugin in a way that violates the terms of service of your chosen AI provider (OpenAI, Groq, etc.)

Agency License Exception

With an Agency license, you may install the plugin on unlimited sites that you own or actively manage on behalf of clients. You may offer the AI chat as a managed service. You may not distribute the plugin files directly to clients or allow clients to self-manage license keys.

6 Payment & Billing

6.1 Pricing

All prices are displayed in USD. Prices are subject to change with 30 days notice. Your license fee is locked at the price paid at time of purchase for the current term.

6.2 Payment Processor

All payments are processed by LemonSqueezy, which acts as the Merchant of Record. LemonSqueezy handles payment processing, VAT/sales tax collection, and invoicing. By purchasing, you also agree to LemonSqueezy's Terms of Service.

6.3 Taxes

Prices shown may be exclusive of taxes. Applicable VAT, GST, or sales tax will be calculated and added at checkout based on your billing location. LemonSqueezy is responsible for tax compliance as Merchant of Record.

6.4 License Renewal

Licenses are sold as annual subscriptions. You will receive a renewal reminder before your license expires. Renewal prices may differ from your original purchase price but will be clearly communicated. Renewal is optional — the plugin continues to function after expiry without updates.

6.5 Free Plan

The free plan is available without payment and is subject to feature limitations as described in Section 4. We reserve the right to modify free plan limitations with 30 days notice.

7 Refund Policy

7.1 Eligibility

You are eligible for a full refund if:

• Your refund request is submitted within 30 calendar days of the original purchase date
• You have not violated these Terms of Service

7.2 How to Request a Refund

1. Contact us via the support page at esolverai.online/support
2. Include your order number or email address used at purchase
3. State that you would like a refund
4. We will process your refund within 5 business days

7.3 Refund Limitations

• Refunds are not available after 30 days from purchase
• Renewals are refundable if requested within 14 days of the renewal charge
• Refunds are processed to the original payment method via LemonSqueezy
• Upon refund, your license key is deactivated immediately

We reserve the right to refuse refunds in cases of suspected fraud, license key sharing, or violation of these Terms.

8 Updates & Support

8.1 Plugin Updates

Active license holders receive plugin updates automatically via the WordPress admin. Updates include bug fixes, security patches, and new features. We make no commitment to a specific update schedule or feature roadmap.

8.2 Support

Support is provided based on your license tier:

Support covers:

• Plugin installation and configuration issues
• Bug reports and confirmed software defects
• License activation problems
• Guidance on plugin features as documented

Support does not cover:

• Custom development or feature requests
• Third-party plugin conflicts (we will advise where possible)
• Issues arising from your chosen AI provider's API
• WordPress core or theme customization
• Server configuration or hosting issues

8.4 End of Life

We reserve the right to discontinue active development or support. In such cases, we will provide at least 90 days notice and offer a pro-rated refund for unused license time.

9 AI Disclaimer

9.1 Nature of AI Responses

The plugin uses AI language models (via third-party APIs) to generate chat responses. You acknowledge that:

• AI responses may be inaccurate, incomplete, or misleading, even with RAG enabled
• The RAG system significantly reduces but does not eliminate AI hallucinations
• AI responses are not professional advice (medical, legal, financial, or otherwise)
• Response quality depends heavily on your chosen AI provider and model
• AI providers may change their model behavior, pricing, or availability without notice

9.2 Your Responsibility

As the site owner, you are responsible for:

• Configuring an appropriate system prompt that guides the AI's behavior
• Monitoring conversations via the Conversations admin panel
• Adding disclaimers on your site where AI-generated content may influence user decisions
• Complying with regulations in your jurisdiction regarding AI disclosure (e.g., EU AI Act)
• Ensuring the AI does not provide advice in regulated domains without appropriate disclaimers

9.3 Third-Party AI Provider Terms

Your use of AI providers through this plugin is also governed by the respective provider's terms of service. You are responsible for:

• Obtaining and maintaining valid API credentials
• Complying with usage limits and rate limits imposed by your AI provider
• Paying any API usage costs charged by your AI provider (these are separate from your EsolverAI license fee)
• Complying with each provider's acceptable use policies

10 Your Content

10.1 Ownership

You retain full ownership of all content on your WordPress site, including posts, pages, products, PDFs, and any other material indexed by the plugin. We claim no ownership over your content.

10.2 Content You Index

By using the plugin's indexing features, you represent that:

• You own or have the right to use and process the content being indexed
• Your content does not infringe any third-party intellectual property rights
• Your content complies with applicable laws

10.3 Prohibited Content

You must not use the plugin to index, process, or facilitate responses related to:

• Content that is illegal in your jurisdiction or the jurisdictions of your users
• Content that promotes violence, discrimination, or hate speech
• Content that infringes copyright or trademark rights
• Malware, phishing, or deceptive content
• Content designed to deceive users about the AI nature of the chat (impersonating a human without disclosure)

10.4 Data You Collect Through the Plugin

If you use lead capture, appointment booking, or conversation logging features, you become the data controller for any personal information collected from your visitors. You must:

• Disclose data collection in your own privacy policy
• Obtain required consents under applicable law (GDPR, CCPA, etc.)
• Handle collected data in accordance with applicable privacy laws
• Respond to data subject requests from your visitors

11 Intellectual Property

11.1 Plugin Ownership

AI RAG Assistant Pro, including all its source code, design, documentation, graphics, and brand elements, is the proprietary intellectual property of EsolverAI and is protected by copyright law.

11.2 Open Source Components

The plugin may include open-source libraries. These are used in accordance with their respective licenses (typically MIT, GPL, or similar). A list of open-source dependencies is available in the plugin's documentation.

11.3 Trademark

"EsolverAI" and "AI RAG Assistant Pro" are trademarks of EsolverAI. You may not use these names or logos without our express written permission, except to accurately refer to our products in reviews, tutorials, or support discussions.

11.4 Feedback

If you provide feedback, suggestions, or ideas about the plugin, you grant us a royalty-free, perpetual license to use that feedback to improve our products without any obligation to you.

12 Warranty Disclaimer

To the maximum extent permitted by applicable law, EsolverAI expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties that the plugin will be error-free, uninterrupted, or secure
• Warranties regarding the accuracy or reliability of AI-generated responses
• Warranties that the plugin will be compatible with all themes, plugins, or server configurations
• Warranties regarding the availability, accuracy, or quality of third-party AI provider services

We do not warrant that the plugin will meet your specific requirements or that it will operate in the combination selected by you.

13 Limitation of Liability

To the maximum extent permitted by applicable law, EsolverAI shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Damages resulting from AI-generated content on your website
• Damages resulting from third-party AI provider outages, errors, or policy changes
• Damages resulting from unauthorized access to your data
• Damages resulting from your failure to properly configure or monitor the plugin

In jurisdictions where liability limitations are permitted, EsolverAI's total liability to you for any claims arising from or related to these Terms or the plugin shall not exceed the amount you paid for your license in the 12 months preceding the claim.

Some jurisdictions do not allow certain liability limitations. In such cases, the limitations above apply to the extent permitted by law.

14 Indemnification

You agree to defend, indemnify, and hold harmless EsolverAI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the plugin in violation of these Terms
• Content indexed by the plugin that infringes third-party rights
• Personal data you collect from visitors via the plugin's lead capture or chat features
• Your failure to comply with applicable laws, including privacy regulations
• AI responses generated through your configured system prompts or knowledge base
• Any misrepresentation you make to visitors regarding the AI nature of the chat

15 Termination

15.1 Termination by You

You may stop using the plugin and deactivate your license at any time. Licenses may be eligible for refund within the 30-day period described in Section 7.

15.2 Termination by Us

We may terminate or suspend your license immediately, without notice, if you:

• Breach any provision of these Terms
• Share your license key publicly or with unauthorized parties
• Use the plugin for illegal or harmful purposes
• Initiate a fraudulent chargeback

Termination for cause does not entitle you to a refund.

15.3 Effect of Termination

Upon termination:

• Your license key is deactivated
• Premium features are locked
• The free version of the plugin (if applicable) continues to function
• Data stored on your server remains in your control

16 Governing Law & Dispute Resolution

16.1 Governing Law

These Terms are governed by applicable international commercial law principles. For EU consumers, mandatory consumer protection laws of your country of residence apply and take precedence over any conflicting provisions herein.

16.2 Dispute Resolution

We prefer to resolve disputes informally. If you have a concern:

1. Contact us via the support page and describe your issue clearly
2. We will respond within 10 business days with a proposed resolution
3. If informal resolution fails, disputes may be submitted to binding arbitration or, where required by law, to the courts of your jurisdiction

16.3 EU Online Dispute Resolution

If you are an EU consumer, you may also use the European Commission's Online Dispute Resolution platform: ec.europa.eu/consumers/odr

16.4 Class Action Waiver

Where permitted by law, you agree to resolve disputes with us individually and not as part of a class action lawsuit or class-wide arbitration.

17 Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date on this page
• Post a notice on our website
• Notify active license holders via email at least 14 days before major changes take effect

Your continued use of the plugin after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may request a refund within the timeframe specified in Section 7 (if applicable) or discontinue use.
